Whistleblower Policy

 1. Purpose

The Africa Institute for Liver and Digestive Diseases (AILDD) Foundation is committed to maintaining the highest standards of integrity, accountability, and ethical behavior in all its activities. This Whistleblower Policy is intended to encourage employees, volunteers, board members, and stakeholders to report concerns about unethical conduct, financial improprieties,or violations of law or policies without fear of retaliation.

2. Scope

This policy applies to all employees, contractors, volunteers, board members, and any individuals involved with the organization.

3. Reporting Responsibility

It is the responsibility of all stakeholders to report concerns regarding:

       • Financial fraud, misappropriation of funds, or accounting irregularities

       • Violations of organizational policies or ethical standards

       • Illegal activities or corrupt practices

       • Harassment, discrimination, or unsafe work conditions

       • Mismanagement of organization resources

4. No Retaliation

No individual who in good faith reports a violation shall suffer harassment, retaliation, or adverse employment consequences. Any act of retaliation will be subject to disciplinary action, up to and including termination.

5. Acting in Good Faith

Anyone filing a report must do so in good faith, providing truthful and accurate information. Reports found to be malicious, false, or knowingly misleading may result in appropriate action by the Board of Directors.

6. Reporting Procedures

If you have concerns or suspect a violation:

Step 1: Submit your report directly to Dr. Kofi Nuako, appointed board member designated to receive reports.

Step 2: Reports may be submitted through the following methods:

The employees must report directly to the designated board contact for all whistleblower concerns. Anonymous reports may also be submitted in writing through the designated channels.

7. Confidentiality

Reports of violations or suspected violations will be kept confidential to the fullest extent possible, consistent with the need to investigate and take appropriate action.

8. Handling of Reported Violations

The Board Chairperson or designated board member will acknowledge receipt of a reported concern within 5 business days.

All reports will be promptly investigated by the Board of Directors or a designated committee.

Findings will be documented, and corrective action will be taken if necessary.

The whistleblower will be informed of the outcome when appropriate and permitted by law.

9. Accountability

The Board of Directors is responsible for ensuring that all reports are reviewed and addressed according to this policy.

 

CERTIFICATE OF ADOPTION OF WHISTLEBLOWER POLICY

I, do hereby certify that the above stated Whistleblower Policy for AILDD Foundation, was approved and adopted by the board of directors on Sunday, January 19, 2025 and constitute a complete copy of the Whistleblower Policy of the foundation.
